ALD signs framework agreement for proposed takeover of LeasePlan

ALD has reached another major milestone in its plans to acquire LeasePlan after signing the framework agreement. 

The transaction is expected to close by the end of 2022 – and will create a leading global player in mobility

The deal was announced in January 2022 and will see ALD acquire LeasePlan for €4.9bn (£4.1bn) in cash and shares. The transaction is expected to close by the end of 2022 – and will create a leading global player in mobility. 

The terms of the transaction have now been confirmed in the framework agreement, providing a key step that allows the parties to prepare for the completion of the transaction.  

The two companies have set up an Integration Management Office (IMO), which is working on preparing the combination of the two entities post-takeover. 

The main next steps leading to closing are the regulatory and antitrust filings. 

The closing of the transaction is expected by the end of 2022, subject to customary closing conditions.
